Welcome to DevFlow Solutions. These Terms of Service ("Terms") govern your access to and use of the website located at https://devflowsolutions.com (the "Site") and any services, projects, or engagements provided by DevFlow Solutions ("DevFlow Solutions," "we," "us," or "our"), including web development, mobile app development, business automation, SEO, and related IT solutions (collectively, the "Services").

By accessing the Site or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or our Services.

Overview of Services

DevFlow Solutions provides technology consulting and development services, which may include but are not limited to:

  • Web development and design
  • Mobile application development
  • Business process automation and AI-driven solutions
  • Search engine optimization (SEO)
  • Custom IT solutions and system integration

The specific scope, deliverables, timeline, and pricing for any project will be defined in a separate proposal, quote, statement of work, or written agreement ("Project Agreement") between DevFlow Solutions and the Client. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement will govern for that specific engagement.

Eligibility

By using the Site or engaging our Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent.

Quotes, Proposals & Project Agreements

  • Quotes and proposals provided by DevFlow Solutions are estimates based on the information available at the time and are valid for the period specified in the proposal (or 30 days if not otherwise stated).
  • A project begins only after both parties agree to the scope, timeline, and payment terms, typically documented in a Project Agreement, signed proposal, or written confirmation (including email).
  • Any changes to project scope after work has begun may result in revised timelines and additional costs, which will be communicated before proceeding.

Payment Terms

  • Payment schedules (e.g., deposit, milestone-based, or full upfront payment) will be outlined in the applicable Project Agreement or invoice.
  • Invoices are due within the timeframe specified on the invoice. Late payments may result in a pause of work, late fees, or suspension of access to deliverables until payment is received.
  • All fees are non-refundable once work has commenced, except as otherwise agreed in writing.
  • Client is responsible for any third-party costs incurred on their behalf (e.g., domain registration, hosting, software licenses, plugins, or app store fees) unless explicitly included in the Project Agreement.

Client Responsibilities

To ensure timely and successful delivery of Services, the Client agrees to:

  • Provide accurate, complete, and timely information, content, credentials, and feedback required for the project.
  • Designate a point of contact authorized to make decisions and approve deliverables.
  • Respond to requests for feedback or approvals within a reasonable timeframe, as delays may affect project timelines.
  • Ensure that any content, materials, or data provided to DevFlow Solutions does not infringe on any third party's rights.

Intellectual Property

Pre-existing materials. Each party retains ownership of any intellectual property, tools, frameworks, or materials they owned prior to the engagement.

Deliverables. Upon full payment for a project, DevFlow Solutions grants the Client ownership of (or a license to use, as specified in the Project Agreement) the final deliverables created specifically for that project.

Third-party components. Projects may include open-source software, plugins, templates, or third-party tools subject to their own licenses. DevFlow Solutions does not guarantee unrestricted ownership of such components and Client is responsible for complying with applicable third-party licenses.

Portfolio use. Unless otherwise agreed in writing, DevFlow Solutions may reference completed projects, including screenshots and general descriptions, in its portfolio, marketing materials, and case studies.

Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of the engagement, and to use such information solely for the purpose of fulfilling the Services. This obligation survives the termination of any engagement.

Warranties & Disclaimers

DevFlow Solutions will perform Services in a professional and workmanlike manner consistent with industry standards.

Except as expressly stated in a Project Agreement, the Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that any website, application, automation, or SEO strategy will be uninterrupted, error-free, or achieve specific business results, rankings, or revenue outcomes.

Limitation of Liability

To the fullest extent permitted by law, DevFlow Solutions and its team members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or related to your use of the Site or Services, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to these Terms or a Project Agreement shall not exceed the total amount paid by the Client to DevFlow Solutions for the specific Services giving rise to the claim in the preceding three (3) months.

Third-Party Services & Integrations

Our Services may involve integration with third-party platforms, APIs, hosting providers, payment processors, or software (e.g., WordPress, Shopify, cloud services). DevFlow Solutions is not responsible for the availability, performance, security, or policies of these third-party services, and use of them may be subject to their own terms and fees.

Project Delays & Force Majeure

DevFlow Solutions will make reasonable efforts to meet agreed timelines but is not liable for delays caused by circumstances beyond our reasonable control, including but not limited to natural disasters, internet or infrastructure outages, third-party service failures, or delays caused by the Client's failure to provide timely feedback, content, or approvals.

Termination

  • Either party may terminate an ongoing engagement with written notice, subject to the terms of the applicable Project Agreement.
  • Upon termination, the Client is responsible for payment of all work completed up to the date of termination.
  • Sections related to Payment, Intellectual Property, Confidentiality, Warranties, and Limitation of Liability shall survive termination of any engagement.

Website Use

If you use the Site (independent of any Project Agreement), you agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms.
  • Attempt to gain unauthorized access to the Site, our systems, or related networks.
  • Introduce viruses, malware, or other harmful code to the Site.
  • Scrape, copy, or reproduce content from the Site without permission.

Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or for legal, operational, or regulatory reasons. The updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

Governing Law
